Terms & Conditions

Our general terms and conditions governing the use of our services and website.

Last updated: 14 October 2026

Acceptance of Terms

By accessing and using the Neoservice website and services, you acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions. These terms apply to all visitors, users and other persons who access or use our services. If you do not agree with any part of these terms, you must not use our website or services.

These Terms and Conditions constitute a legally binding agreement between you and Neoservice. We may modify them; material changes are communicated to clients with an ongoing contract, and your continued use of our services after they come into force constitutes acceptance. Our services are intended for professional clients.

Neoffice Platform: Use of the Neoffice platform (hosted business management software) is governed by the Neoffice General Terms and Conditions, which prevail over these terms for that service.

Use of Services

Neoservice provides web design, development and digital marketing services. Our services are intended for legitimate commercial purposes and personal use in accordance with these terms. You agree to use our services responsibly and in compliance with all applicable laws and regulations.

Permitted Uses: Creating websites, web applications and digital solutions for your commercial or personal projects, accessing our case studies and portfolio, contacting us for service requests and downloading resources we make publicly available.

Prohibited Uses: Using our services for illegal or unauthorised purposes, attempting to gain unauthorised access to our systems or networks, distributing malware or harmful code, infringing intellectual property rights, or engaging in any activity that could harm our reputation or business operations.

You are responsible for maintaining the confidentiality of any account information and all passwords associated with your use of our services.

Intellectual Property

All content, materials and intellectual property on our website and in our services are the property of Neoservice or our licensors and are protected by copyright, trademark and other intellectual property laws. This includes but is not limited to:

Website Content: Text, graphics, logos, images, videos, code and design elements on our website and in our work products.

Service Deliverables: Custom designs, code and solutions created specifically for clients become the client's property upon full payment, unless otherwise stipulated in a separate agreement.

Neoservice Brand: Our company name, logo and brand elements remain our exclusive property and may not be used without written permission.

You may not reproduce, distribute, modify or create derivative works from our content without explicit written consent, except where specifically permitted by law or these terms.

Client Obligations

When engaging our services, you agree to provide accurate and complete information necessary for project completion. This includes the timely provision of content, feedback and approvals as outlined in project agreements.

Project Timelines: Delivery timelines depend on client cooperation and the timely provision of feedback. Delays caused by client-side factors may result in adjusted timelines and potential additional costs.

Content Responsibility: The client is responsible for ensuring that all content provided is original, properly licensed or used with permission. The client indemnifies Neoservice against any claims arising from client-provided content.

Payment Terms: Payment schedules and conditions are specified in individual project agreements. Late payments may result in project delays or suspension of services.

Revisions and Changes: Changes to project scope may result in additional costs and timeline adjustments as outlined in project agreements.

Social Media Management and Publishing Services

Some of our services allow you to connect your professional social media accounts (Facebook, Instagram, LinkedIn) in order to create, schedule and publish content, and analyse its performance. By connecting an account through the platform's official authorisation process, you authorise us to carry out, on your behalf and in accordance with your instructions, the actions covered by the permissions you grant — including publishing content to your Pages and accounts.

Your responsibilities: you represent that you hold the necessary rights and authorisations over the accounts you connect and over any content you publish through them. You are solely responsible for the content published and you undertake to comply with the terms of use and policies of each third-party platform, including the Meta Platform Terms (https://developers.facebook.com/terms/) and the LinkedIn Terms of Service.

Scope of access: we access only the data required for the features you activate and take no unsolicited action. You may disconnect an account at any time, which immediately terminates our access and deletes the corresponding token.

Availability: our social media features depend on third-party application programming interfaces (APIs) provided by the platforms. We are not responsible for any interruptions, modifications or restrictions imposed by those platforms, nor for the removal or rejection of content decided by them.

Warranty and Liability

Our services are provided with the care customary in the profession, but "as is": we cannot guarantee uninterrupted or error-free service, nor that it will meet a particular need.

Service Availability: We make reasonable efforts to ensure the availability of our website and services but do not guarantee continuous access or the absence of technical issues.

Third-Party Services: We are not responsible for the performance, availability or conditions of third-party services, hosting providers or external integrations (in particular social media platforms) beyond our control.

Limitation of Damages: To the extent permitted by law, Neoservice is not liable for indirect, incidental, special or consequential damages, lost profit, loss of customers or reputation, nor for the loss or alteration of data that the client could have avoided by making a backup. Our total liability for any claim is limited to the amount paid for the specific services in question.

Exceptions: No limitation or exclusion applies in cases of wilful misconduct or gross negligence, for personal injury, or where the law prohibits it.

Professional Advice: Our services do not constitute legal, financial or professional advice. Clients should consult appropriate professionals for such matters.

Force Majeure: Neither party is liable for any delay or non-performance caused by an event beyond its reasonable control (disaster, strike, decision of an authority, power or network outage, failure of an infrastructure provider, cyberattack despite customary security measures).

We encourage clients to review all deliverables promptly and communicate any concerns within reasonable timelines to ensure satisfactory project outcomes.

Data Protection

The processing of personal data is described in our privacy policy. When we process data on behalf of a client, we act as a processor, on its instructions, and we use them only to provide the service.

Final Provisions

If any provision of these terms is void or unenforceable, the other provisions remain valid. These terms exist in French, English and German; in the event of any discrepancy, the French version prevails. They are governed by Swiss law. Any dispute is subject to the exclusive jurisdiction of the courts of the place of Neoservice's registered office (currently the Canton of Vaud), without prejudice to an appeal to the Swiss Federal Supreme Court and to mandatory places of jurisdiction.
