Neoffice Terms and Conditions

1. Purpose and acceptance

These Terms and Conditions (the "Terms") govern access to and use of the Neoffice platform, a cloud-hosted business management software (ERP) published and operated by Neoservice (Canton of Vaud, Switzerland). By subscribing to Neoffice, activating a trial or using the service, you acknowledge that you have read, understood and accepted these Terms, which form a legally binding agreement between you (the "Customer") and Neoservice.

Neoservice reserves the right to amend these Terms at any time. In the event of a material change, the Customer will be notified and continued use of the service constitutes acceptance of the updated version. These Terms are governed by Swiss law.

2. Description of the service

Neoffice is an all-in-one cloud ERP platform for SMEs, covering in particular invoicing (Swiss QR-bill), accounting, CRM, sales, purchasing, inventory, point of sale, project management, human resources, helpdesk, the Nora AI assistant, document management and a mobile app.

Each Customer is provided with a dedicated instance (private virtual server) hosted in Switzerland. The exact functional scope depends on the subscribed plan.

3. Free trial

Neoffice may be offered with a free trial period of 7 days, with no commitment and no credit card. At the end of the trial, access ends automatically unless a subscription is taken out. Neoservice reserves the right to limit or refuse trial access in the event of abuse.

4. Subscription, pricing and billing

The standard subscription is billed at CHF 149.- per user per month (monthly plan) or CHF 1,490.- per user per year (annual plan, two months free). Additional storage is billed at CHF 1.- per GB per month. Prices are exclusive of VAT unless stated otherwise.

Billing occurs in advance, per period. Failure to pay or late payment may result in suspension of access after a formal notice has remained without effect. Any price change is communicated to the Customer before it takes effect.

5. Term, renewal and termination

The subscription is entered into for the duration of the chosen period (monthly or annual) and renews automatically by tacit renewal. The Customer may terminate at any time with effect at the end of the current period, from their account or by contacting Neoservice. Upon termination, the Customer has a reasonable period to export their data before its permanent deletion.

6. Hosting, data and confidentiality

The Customer's data is hosted in Switzerland (Infomaniak Public Cloud). The Customer remains the owner of all their data and the controller within the meaning of applicable law (in particular the Swiss FADP and, where applicable, the GDPR). Neoservice acts as a processor and processes the data solely to provide the service.

Neoservice implements reasonable technical and organisational measures to protect the data. The Customer may export their data and request its deletion. Neoservice does not sell or transfer the Customer's data to third parties.

7. Availability and maintenance

Neoservice strives to ensure high availability of the service but does not guarantee uninterrupted or error-free access. Planned maintenance may cause temporary interruptions, announced in advance where possible. Neoservice is not liable for interruptions attributable to third-party services, the Customer's network or events of force majeure.

8. Customer obligations

The Customer undertakes to use the service lawfully and in accordance with these Terms, to keep their credentials confidential, not to attempt unauthorised access to the systems, and to ensure that the content they process is lawful and that they hold the necessary rights. The Customer is responsible for the activity of their own users.

9. Intellectual property

The Neoffice platform, its code, brand and design elements remain the exclusive property of Neoservice and/or its licensors. The subscription grants the Customer a non-exclusive, non-transferable right of use for the duration of the subscription. The data and content entered by the Customer remain their property.

10. Limitation of liability

The service is provided "as is", without warranty of any kind beyond what mandatory law provides. Neoservice shall not be liable for indirect, incidental or consequential damages arising from the use of or inability to use the service. Neoservice's total liability, on any grounds, is limited to the amount paid by the Customer for the service over the last twelve months.

11. Governing law and jurisdiction

These Terms are governed by Swiss law. Any dispute relating to their validity, interpretation or performance is subject to the exclusive jurisdiction of the courts of the Canton of Vaud, subject to appeal to the Federal Supreme Court.
